At the end of the month the Annual Return, which companies are currently required to file with Companies House, is being replaced by a slightly more detailed Annual Confirmation Statement. This document will incorporate some of the details that should be held in the PSC register that all companies & LLPs ought to maintain since April (please see UHY’s factsheet about this if you’ve missed this new requirement). Companies House have yet to publish definitive guidance on this, but the change is effective from 30 June 2016.
Unlike the current Annual Return process, there will be no statutory filing deadline for delivering a Confirmation Statement. You can choose whatever date you like but you must deliver at least one statement every 12 months. This has the advantage that it will be possible to align the filing date with other statutory filing obligations, such as the filing of the annual accounts, allowing a streamlining of admin burdens.
The date chosen will be known as the ‘confirmation date’ and companies will have 14 days from this confirmation date to deliver the statement to Companies House. The first Confirmation Statement should be filed within 14 days of:
- the anniversary of company formation, or
- the anniversary of the made-up date of your last annual return.
Subsequent statements should be filed at Companies House within 14 days of the anniversary of your previous confirmation date.
There will continue to be a filing fee. This is yet to be confirmed but is likely to be the same £13 fee that applies to the Annual Return. One slight and welcome change is that it will be possible to update the information on the Confirmation Statement as many times as you like throughout the year, with no additional fee.
Annual Returns cannot be filed from 30 June 2016. From this date, a Confirmation Statement must be filed instead. However, if the statutory filing deadline for the Annual Return falls before 30 June 2016, it must still be delivered to Companies House; this will be the last annual return, and thereafter a Confirmation Statement will need to be delivered every year.
