Acquisitions 2

Acquiring a business is often a lengthy process throwing up many issues along the way. Acquisitions occur for many reasons; including strengthening and growing the existing business and capitalising on an existing market position.  Acquisition strategies include both vertical and horizontal mergers.

Is an acquisition right for your business?

Before setting out to acquire a business, it is important that you identify exactly what your goals and needs are, in order to ensure that an acquisition will help you to meet them:

  • Do you wish to acquire a business to strengthen your market position?
  • Will the acquisition of a business help you to meet your strategic objectives?

Acquiring a business may well be the solution to help your business expand further.  However, identification of a target, or even establishing the strategic criteria for your business can be difficult.  We will get close to your business in order to advise you on strategic issues and find and target businesses which will meet your criteria.

  • an acquisition strategy;
  • the identification of the acquisition criteria.

We will help to ensure that your acquisition strategy reflects the long-term objectives of your business.  We will then help you to define your acquisition criteria.

When your acquisition strategy and criteria have been agreed we can provide you with the following services in order to help you make the right acquisition for your business:

  • a time-schedule and plan of the transaction;
  • industry analysis and research;
  • identification of suitable targets;

  • the valuation process;
  • evaluation of the requirement for commercial due-diligence;
  • advice on any associated funding and capital raising (if relevant);
  • negotiation of terms;
  • additional services include tax and financial accounting advisory, contact with law firms.

Our experience and network of contacts puts us in the best position to search for your potential targets. We will identify them by conducting in-depth market and industry research. Targets will usually be competitors, suppliers, customers, businesses providing supplementary services, or other strategically fitting businesses. We have access to information on other similar deals transacted within your industry, deal structures, valuations and financing.  This means that together we can structure the most suitable deal for you.

When it comes to approaching the potential target(s), we will conduct valuation exercises to ensure that they fit the strategic criteria and that the negotiations process runs as smoothly as possible.  We will try and ensure that the negotiations process is as smooth as possible and that your desired outcome is realised.
